1.2 Free Preview
We offer a free website preview/mockup before project commitment. This preview remains our intellectual property until full payment is received and the project is completed.
2. Project Process
2.1 Project Initiation
- You submit a project inquiry through our contact form or email
- We discuss your requirements and provide a custom quote
- Upon agreement, we create a free preview for your approval
- After preview approval, we proceed with full development
2.2 Timeline
Project timelines vary based on complexity:
- Simple landing pages: 2-3 business days
- Standard websites: 4-5 business days
- Complex projects: 6-7+ business days
Timelines are estimates and may vary based on project scope, client feedback responsiveness, and revision requests.
2.3 Client Responsibilities
To ensure timely project completion, you agree to:
- Provide all necessary content, images, and materials promptly
- Respond to communications within a reasonable timeframe
- Provide clear and constructive feedback
- Review and approve deliverables in a timely manner
3. Payment Terms
3.1 Pricing
All prices are quoted in USD unless otherwise specified. Quotes are valid for 30 days from the date of issue.
3.2 Payment Structure
Our standard payment structure is:
- 50% deposit required before development begins
- 50% final payment due upon project completion, before final files are delivered
Alternative payment arrangements may be discussed for larger projects.
3.3 Payment Methods
We accept payment via:
- PayPal
- Bank transfer (wire transfer)
- Credit/Debit card (via PayPal or Stripe)
3.4 Late Payments
Invoices are due within 7 days of issue. Late payments may result in project delays or suspension of services.
4. Revisions and Changes
4.1 Included Revisions
Each project includes a reasonable number of revisions (typically 2-3 rounds) within the agreed scope. Additional revisions may incur extra charges.
4.2 Scope Changes
Changes to the original project scope may require a revised quote and timeline. Significant changes after development has begun may incur additional fees.
4.3 Change Requests
All change requests should be submitted via email. We will assess the impact on timeline and cost before proceeding.
5. Intellectual Property
5.1 Ownership Transfer
Upon full payment, you receive full ownership of:
- Custom code written specifically for your project
- Custom design elements created for your project
- Final website files and assets
5.2 Retained Rights
We retain the right to:
- Display the completed project in our portfolio
- Use the project as a case study (without disclosing confidential information)
- Reuse generic code components, frameworks, and methodologies
5.3 Third-Party Assets
Third-party assets (stock images, plugins, themes, fonts) are subject to their respective licenses. We will inform you of any licensing requirements.
5.4 Client Materials
You retain ownership of all materials you provide (logos, images, content). You warrant that you have the right to use these materials.
6. Confidentiality
We agree to keep all client information, business strategies, and project details confidential. We will not share your information with third parties without your consent, except as required by law.
7. Warranties and Disclaimers
7.1 Our Warranty
We warrant that:
- Services will be performed professionally and with reasonable skill
- Deliverables will substantially conform to agreed specifications
- We will address any bugs or issues within 30 days of project completion at no additional cost
7.2 Disclaimer
We do not guarantee:
- Specific search engine rankings or traffic results
- Specific business outcomes or revenue increases
- Compatibility with all future browser versions or technologies
Results shown in testimonials and case studies are examples and may not be typical.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount paid for the specific service
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for losses due to circumstances beyond our reasonable control
9. Termination
9.1 Termination by Client
You may terminate the project at any time by providing written notice. In case of termination:
- Deposit payments are non-refundable
- You will be invoiced for work completed to date
- Completed work will be delivered upon payment
9.2 Termination by Us
We may terminate the project if:
- Payment is not received as agreed
- Client becomes unresponsive for more than 30 days
- Project scope changes significantly from original agreement
10. Communication
10.1 Primary Communication
All project communication will be conducted via email. We do not offer phone or video call support. Email responses are typically provided within 1-12 business hours.
10.2 Business Hours
We operate Monday through Friday. Response times may be longer on weekends and holidays.
11. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, or infrastructure failures.
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services constitutes acceptance of modified Terms.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with any project-specific agreements or quotes, constitute the entire agreement between you and Grid Web Agency regarding the services provided.
